UNIFIE Legal: User Terms of Agreement Course Creation

This User Terms of Agreement (“Agreement”) is entered into by and between Tryst Beauty, Relaxation and Education Inc., a Florida corporation, located at 2050 River Reach Dr Naples FL 34104 hereinafter referred to as “Company,” and you, the user of MindQuest, hereinafter referred to as “User.” By accessing and using MindQuest’s services, you agree to the following terms:

1. Nature of MindQuest
MindQuest is an entertainment-based game provided by the Company. User acknowledges and agrees that MindQuest and its representatives, employees, agents, and affiliates under Tryst Beauty, Relaxation and Education Inc. do not provide professional therapy or counseling services. User assumes full responsibility for their actions and their consequences while engaging with MindQuest. MindQuest is intended purely for entertainment and exploratory purposes.

2. Educational Role-Playing
MindQuest offers an educational role-playing game that allows User to engage in scenarios and challenges designed to promote self-exploration. User autonomously accepts assignments, missions, or challenges based on their individual judgment. User agrees that all activities within MindQuest are voluntary and that User is solely responsible for their participation and actions.

3. Payment Terms

The User agrees to the following payment structure for course creation and subscription services provided by MindQuest:

3a) Primary Course Creation Fee

  • The total cost for the creation of a course is $5,000.00.
  • A non-refundable deposit of $2,500.00 (50%) is required upfront to initiate the course creation process.
  • The remaining balance of $2,500.00 will be paid in monthly installments of $833.00 over a 3-month period.

3b) Additional Course Creation Fee

  • Additional courses may be created at a discounted rate of $2,500.00.
  • A non-refundable deposit of $1,250.00 (50%) is required upfront.
  • The remaining balance of $1,250.00 will be paid in monthly installments of $416.66 over a 3-month period.

3c) Subscription Fee

  • A recurring subscription fee of $9.99 per month per course grants User access to MindQuest’s services, including course updates, missions, and assignments for a period of 30 days.
  • If the subscription is not renewed by the end of the 30-day period, User’s access to MindQuest’s services and content will be suspended.
  • To regain access, User must either make the required payment or opt for an annual subscription, which can be canceled at any time. Access will continue until the end of the current subscription period.

3d) Additional Fees

  • Course Update Fees: Changes to existing courses will incur additional fees to be determined (TBD) based on the scope and nature of the updates requested by User.
  • Commission Fee: A 3% commission will be applied to the total cost of each course created through MindQuest’s services.

3e) Taxes

  • All fees and payments listed above exclude applicable taxes. Taxes will be calculated and included upon payment.

User acknowledges that by agreeing to these terms, they commit to fulfilling all payment obligations as outlined. Failure to comply with payment terms may result in the suspension of services and legal action to recover unpaid balances.

3.1. Non-Refundable Policy

All subscription payments made to the Company are non-refundable. If the User cancels their subscription, they will retain access to MindQuest’s services until the end of the current billing cycle, after which access will be terminated.

Payments made for course creation services may be eligible for a prorated refund based on the amount of work completed at the time of cancellation. Refunds will be issued at the Company’s discretion, taking into account the progress and resources expended on the course.

4. Assignment Details
Upon subscription, User will receive a randomly assigned task or challenge, accompanied by 6 Assignment Cards, rules, and guidelines. A detailed explanation of each card and its usage is provided during the onboarding process.

5. Privacy and Data Collection
MindQuest collects and processes User’s personal data in accordance with the Company’s Privacy Policy. By using MindQuest, User consents to the collection, processing, and use of their personal data as described in the Privacy Policy. The Company takes reasonable steps to ensure the confidentiality and security of User’s information.

6. Intellectual Property
All materials and content, concepts provided through MindQuest, including but not limited to text, images, graphics, software, and multimedia, are the intellectual property of Tryst Beauty, Relaxation and Education Inc. or its licensors. User is granted a limited, non-exclusive, and revocable license to use these materials for personal and non-commercial purposes, subject to the restrictions outlined in this Agreement.

7. User-Generated Content (Comments)
MindQuest allows User to post comments, opinions, and other content. Comments and content posted by User reflect the views of the individual posting and not the views of MindQuest or the Company. The Company reserves the right to monitor and remove any comments or content that are deemed offensive, inappropriate, or in violation of this Agreement or applicable law.

8. Hyperlinking and Framing
Organizations may link to MindQuest’s website in accordance with the Company’s hyperlinking policy. No use of Tryst Beauty, Relaxation and Education Inc.’s logo or other proprietary content is allowed without a proper trademark license agreement. User is prohibited from using iFrames or other technologies that alter the visual presentation of the MindQuest website without the Company’s express written consent.

9. Content Liability
The Company is not responsible for any content appearing on external websites linked to or from the MindQuest platform. The Company has no obligation to remove links or content upon request, but it reserves the right to do so at its sole discretion.

10. Disclaimer of Warranties and Liability
MindQuest is provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied. The Company disclaims all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. User agrees that the use of MindQuest is at their sole risk.

The Company, its directors, officers, employees, agents, and affiliates will not be liable for any damages or losses arising out of or in connection with the use of MindQuest. This includes, without limitation, direct, indirect, incidental, punitive, and consequential damages.

11. Termination
The Company reserves the right to terminate or suspend User’s access to MindQuest at any time, with or without cause, notice, or liability. Upon termination, all provisions of this Agreement shall survive, including but not limited to, intellectual property rights, disclaimer of warranties, and limitations of liability.

12. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be exclusively subject to the jurisdiction of the state and federal courts located in Collier County, Florida.

13. Amendments and Modifications
The Company reserves the right to amend or modify this Agreement at any time. User will be notified of any changes, and continued use of MindQuest following the posting of revised terms signifies acceptance of those changes.

14. Severability
If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect.

By accessing and using MindQuest’s services, you acknowledge your understanding and agreement to these terms and conditions.

    • Refrain from sharing, duplicating, or disseminating the information without prior written consent from the creator or project owner.
    • Use the information solely for the purpose of advancing the project as agreed upon.
    • Take reasonable measures to protect the confidentiality of the information, including secure storage and limited access.
  4. Exceptions to Confidentiality
    Confidential Information does not include information that:
    • Is publicly available at the time of disclosure or subsequently becomes publicly available without breach of this agreement.
    • Is independently developed by the receiving party without reference to the Confidential Information.
    • Is required to be disclosed by law, provided the disclosing party is given notice and an opportunity to seek protective measures.
  5. Duration of Confidentiality
    The obligation of confidentiality shall remain in effect indefinitely or until the creator explicitly releases the information into the public domain.
  6. Remedies for Breach
    In the event of a breach of this agreement, the disclosing party reserves the right to pursue legal remedies, including but not limited to injunctions, damages, and recovery of legal fees.
  7. Acknowledgment
    By accessing or receiving the Confidential Information, you acknowledge and agree to be bound by the terms of this notice. Failure to comply may result in immediate termination of access to the project and potential legal consequences.
  8. Governing Law
    This confidentiality notice shall be governed by and construed in accordance with the laws of the State of Florida.

All Rights Reserved
The Author reserves all rights to the Work, including but not limited to adaptation, translation, publication, performance, and distribution. Permission must be explicitly granted for any such uses.
